Terms of Service

1. Acceptance of Terms

By creating an account or using Rolling Permits ("the Service," "we," "us," "our"), you ("you," "the User," "the Vendor") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

The Service is currently operated as a sole proprietorship. As the business's legal structure changes (for example, upon formation of a limited liability company), this section will be updated to reflect the operating entity.

2. Description of Service

Rolling Permits is a permit and inspection tracking tool for mobile food vendors. The Service allows Users to record permit, license, and inspection information (including expiration dates and supporting documents) and receive automated email and/or SMS reminders before those dates pass.

The Service is a tracking and reminder tool. It is not a compliance guarantee, legal service, or substitute for the User's own diligence. See Section 8 (Compliance Disclaimer) below.

7. Communications & SMS Consent

By providing a phone number, you consent to receive SMS text messages from Rolling Permits related to your account and permit reminders. Message and data rates may apply. You may opt out of SMS reminders at any time through your account settings or by replying STOP to any message; opting out may reduce the effectiveness of the Service, since SMS is one of the Service's reminder channels for paid plans.

8. Compliance Disclaimer (Important)

The User remains solely and fully responsible for maintaining compliance with all applicable permit, licensing, health, fire, and business regulations in every jurisdiction in which they operate.

Rolling Permits provides reminders and organizational tools as a convenience. The Company does not guarantee:

The Company is not liable for any fines, citations, lost revenue, or other damages resulting from a lapsed permit, license, or inspection, regardless of whether the Service sent, failed to send, or was delayed in sending a reminder.

9. Intellectual Property

The Service, including its software, design, and branding, is the property of the Company and is protected by applicable intellectual property laws. These Terms do not grant you any rights to the Company's trademarks, logos, or brand assets.

10. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law. You may terminate your account at any time; see Section 4 regarding billing effects of cancellation.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY REMINDER WILL BE DELIVERED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify and hold the Company harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Texas.
